Transcorp Hotels Plc: Notice of Board Meeting

Transcorp Hotels Plc has notified its shareholders, the investing public and other relevant stakeholders that it will be hosting its 81st Board of Directors Meeting on Thursday, November 4, 2021.

This is according to a notice signed by the company’s secretary, Kofo Olokun-Olawoyin, and filed with the Nigerian Exchange Limited (NGX).

According to the notice, the board meeting is scheduled to enable the Directors review and approve the company’s unaudited financial accounts for the third quarter of the year (Q3, 2021) ended 30th of September, 2021.

In addition, the company revealed that the Q3 2021 unaudited financial statements of the company will be filed on or before 30th of October, 2021.

It is pertinent to note that in line with the post-listing requirements of the NGX, the company has already commenced a closed period from October 1, 2021. The closed period will persist until 24 hours after the financial results have been released to the NGX and made public. During the closed period, all insiders and their connected persons are prohibited from trading (i.e buying, selling, transferring or otherwise dealing) in the company’s shares.

Valentine Ozigbo and Saratu Umar retire as Directors of Transcorp Hotels Plc.

Transcorp Hotels Plc, a subsidiary of Transnational Corporation of Nigeria, has notified the public of the retirement of two of its Directors- Mr Valentine Ozigbo and Hajia Saratu Umar.

According to a disclosure signed by the company’s secretary, Chike Anikwe and sent to the Nigerian Exchange Group Plc, the recent action was communicated to relevant stakeholders during the company’s recently concluded Annual General Meeting (AGM) held on the 26th of April, 2021.

About the retirees

Mr Valentine Ozigbo is an astute businessman cum politician, with over two decades of experience in banking and hospitality. He was a former president and CEO of Transnational Corporation of Nigeria Plc and Member of Nigeria Institute of Directors. He was appointed into the board of Transcorp Hotels Plc as Non-Executive Director in 2019.

Mr Ozigbo is an alumnus of the prestigious University of Lancaster and the University of Nigeria, Nsukka where he obtained an MBA and BSc degree respectively.

Hajia Saratu Umar is an accomplished banker, economist and strategist with over 25 years of working experience. She was appointed into the board of Transcorp Hotels Plc as Independent Non-Executive Director in 2016. Prior to joining Transcorp, she was the former Chief Executive Officer & Secretary at Nigerian Investment Promotion Commission and Secretary of Nigerian Export – Import Bank.

She obtained an MBA and a BSc degree in Economics from the prestigious Ahmadu Bello University.

Transcorp Hotels Plc announces Annual General Meeting.

Transcorp Hotels Plc has announced that it will be hosting its 7th Annual General Meeting (AGM)  on the 26th of April, 2021.

According to a notice signed by the Acting Secretary of the company, Mr. Chike Anikwe, the meeting will hold at Transcorp Hilton Abuja at 2:00 pm. The following will be discussed;

  • The audited financial statements of the company for the year ended 31st December 2020.
  • Election of statutory audit committee members.
  • To consider and pass the payment of N62 million as remuneration to Non-Executive Directors for the year ended December 2020.

What you should know:

  • Transcorp Hotels Plc had earlier posted a loss after tax of N6.3 billion.
  • In line with CAC guidelines, attendance of the AGM will be by proxy only. Sequel to this, shareholders are required to select from a pool of nominated proxies as contained in the notice.
  • The AGM will be streamed live.
